Good to know
- Texas has no Secretary of State annual report for LLCs or corporations; the annual Comptroller franchise tax filing (at minimum the Public Information Report) serves that role and is due May 15.
- No-tax-due threshold is $2,650,000 for 2026 and 2027 reports. Since 2024 the No Tax Due Report is discontinued; small entities file only the PIR (corporations/LLCs) or OIR (other entities).
- Qualifying new veteran-owned businesses need not file a PIR/OIR for their initial five-year period.
- Limited partnerships must file a separate SOS periodic report only when requested; nonprofit corporations file a periodic report only when the SOS requests it (no more than once every four years).
